MERGERS AND ACQUISITIONS:
- Advice to H.I.G. Capital, a leading global alternative investment firm with more than USD 45 billion of assets in portfolio, in the financing and acquisition of a majority stake in Grupo Ransa, a leading logistics operator in more than 9 countries in South and Central America.
- Advice to H.I.G. Capital in its acquisition of a majority stake in Ilko Virutex, a leading manufacturer of cleaning products and kitchenware in Latin America.
- Advice to Equinix Group, the world’s largest provider of data centers and colocation infrastructure, in the negotiation and execution of binding agreements to acquire four data centers in Chile and Peru for USD 705 million.
- Advice to Coney Island Attractions (Coney Park) in the sale of 100% of the shares of Coney Park (Peru), Divetrónica Medellín (Colombia) and Happy City (Chile) to The Carlyle Group.
- Advice to Grupo Wiese in the sale of 50% of the shares of Inmuebles Panamericana S.A., operator of 11 shopping centers throughout Peru, to Grupo Parque Arauco (Chile) for approximately USD 119 million.

- Advice to Citigroup Global Markets, HSBC Securities, Santander US Capital Markets and Banco BTG Pactual – Cayman Branch, as dealer managers in an exchange offer by Auna of its 6.50% senior notes due 2025 for 10.00% senior secured notes due 2029.
- Advice to Citi, HSBC and Banco Santander México, S.A., Institución de Banca Múltiple, Grupo Financiero Santander México as structuring agents, joint lead arrangers and bookrunners in a USD 550 million secured loan in favor of Auna and Grupo Salud Auna México.
- Advice to the Dominican Republic in its 144A/Reg S offering of USD 1.2 billion of 11.25% bonds maturing in 2035, together with an offer to repurchase a series of outstanding global bonds denominated in DOP maturing in 2026.
- Advice to Bank of America Securities, as arranger and initial purchaser, in the securitized bond program of the Municipality of Lima for the issuance of up to USD 1.08 billion in bonds governed by Peruvian law.
- Advice to Hudbay Peru and Hudbay Minerals in the refinancing of a USD 200 million facility for the development of the “Constancia” mining project in southern Peru.
- Advice to HudBay Minerals Inc. in the issuance of Senior Unsecured Notes for up to $1.0 billion in the international markets.

Rafael Lulli Meyer is a senior associate of our mergers and acquisitions department. His practice focuses on mergers and acquisitions transactions of domestic and foreign companies, as well as corporate and financial law. Among his main areas of expertise are the purchase and sale of companies in the real estate, retail, pharmaceutical, education, industrial and services sectors, as well as multi-jurisdictional financing transactions.
Rafael is a graduate and juris doctor from the Universidad de Lima, where he obtained his law degree with honors. He holds a Master of Laws (LL.M.) degree from New York University (NYU), where he received the Dean’s Award Scholarship for academic excellence. He has also completed courses in Corporate Law at the University of Zaragoza, Spain.
In addition to his professional experience in our firm, Rafael has been an international associate in the New York office of Cleary Gottlieb Steen & Hamilton in 2023 and 2024, participating in several relevant transactions in Latin America and the United States.
In the academic field, Rafael has been an adjunct professor of “Commercial Law I” and “Commercial Law II” courses at Universidad de Lima. He is also author of several research articles on corporate and transactional matters, mainly in the M&A area. Likewise, he has actively collaborated with the World Bank in the preparation of its annual publication “Doing Business” 2016, 2017, 2018 and 2019, in the research section on corporate law.
He is co-founder of the legal publishing house The Legal Industry Reviews, with presence in more than 18 countries, of which he was editor-in-chief from 2020 to 2024. He was also a member of the Financing Committee of the Civil Association ADV Editores, which publishes the legal journal ADVOCATUS.
