  • Advised Enel on the sale of Enel Distribución to China Southern Power Grid International for an amount of USD 2.9 million (2024).

  • Advised Enel on the sale of Enel Generación to Actis Group for an amount of USD 1.3 million (2024).

  • Advised Grupo Andino on the sale of a stake in OPORSA to Mobiliare (2026).

  • Advised Emergent Cold on the acquisition of Frialsa for a confidential amount (2025).

  • Advised Emergent Cold on the acquisition of the Megacentro logistics facility in Lurín for a confidential amount (2025).

  • Advised Alpayana, as borrower, in a USD 100 million loan granted by Banco Santander Perú (2025).

  • Advised Volcan, as sponsor, on the USD 975 million financing granted to Cosco Shipping Ports Chancay by Bank of China and other financial institutions, for the development of the Port of Chancay (2023).

CAPITAL MARKETS

  • Advised the underwriters and arrangers of Buenaventura’s 5.5% Senior Notes due 2026 in an aggregate principal amount of USD 650 million, issued under Rule 144A / Regulation S (2021).

  • Advised the placement agents of the Republic of Peru’s 2.7% Global Bonds due 2026, denominated in euros, in an aggregate amount of USD 1.248 billion, in an offering registered with the SEC (2014).

Rafael Santín is a lawyer from the University of Piura. He has been a Senior Associate in the Lima office since 2022, and his practice focuses on Mergers & Acquisitions, Financing, Capital Markets, and Financial Regulation.

Rafael has been a member of the commercial teams led by our Madrid and Santiago de Chile offices, where he completed secondments in 2024 and 2026, respectively.

He has served as an adjunct professor of the Mergers & Acquisitions course at the Pontifical Catholic University of Peru since 2024 and has also served as Chair of the Board of Directors of the civil association Ita Ius Esto, which publishes a law journal of the same name and is composed of students from the Faculty of Law of the University of Piura.

Rafael worked as an associate at Miranda & Amado between 2015 and 2022, where his practice focused on Financing, Capital Markets, and Financial Regulation, as well as Insurance and Reinsurance.

His native language is Spanish, and he is fluent in English.
